Acceptance of Terms
By accessing or using the Huckleberry platform and website, you agree to be bound by these Terms of Use. If you do not agree to all of these terms, you should not use our services. Your continued use of the platform constitutes your acceptance of any updates or modifications to these terms.
Use of Services
Huckleberry provides a facility, energy, and environmental management platform designed to help organizations measure, manage, and optimize their operations. You agree to use the platform only for lawful purposes and in accordance with these terms. You may not use the services in any way that could damage, disable, or impair the platform, or interfere with any other party's use of the services.
Your Data
You own your data. Building information, utility data, meter readings, equipment records, and anything else you provide or authorize us to obtain on your behalf (“Customer Data”) remains yours. You grant Huckleberry a non-exclusive license to host, process, transmit, and display Customer Data for the purpose of providing the services to you, including transmitting it to third parties where you have asked us to.
We do not sell Customer Data. We will not disclose it except to provide the services, to the service providers we use to deliver them, where you direct us to, or where legally required. We may use aggregated and de-identified data derived from Customer Data to operate and improve the platform, provided it does not identify you, your buildings, or your tenants.
Authority You Grant Us
Some parts of the platform require Huckleberry to act on your behalf with third parties. By enabling those features, you authorize us to obtain utility bills, account information, and interval data from your utility providers; to create, access, and update records in your ENERGY STAR® Portfolio Manager account, or to create such an account on your behalf, for the properties and meters you share with us; and to connect to building automation systems and equipment you identify to us.
You confirm that you have the right to grant this authority for each building and account. You may withdraw it at any time, either within the platform or in the relevant third-party system. Withdrawing authority will stop the affected features from working, and we are not responsible for data that becomes out of date as a result.
Intellectual Property
All content, trademarks, logos, and intellectual property displayed on the Huckleberry website and platform are the property of Huckleberry or its licensors. You may not reproduce, distribute, modify, or create derivative works from any materials on our platform without prior written consent from Huckleberry.
User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to notify Huckleberry immediately of any unauthorized use of your account. You are solely responsible for ensuring that your use of the platform complies with all applicable laws and regulations.
Accuracy of Data and Metrics
We take reasonable care, but energy data originates from utilities, meters, building systems, and third-party services that we do not control, and it is frequently incomplete, delayed, or incorrect at source.
ENERGY STAR® scores and metrics are calculated by the U.S. Environmental Protection Agency, not by Huckleberry. We submit the data you have provided and report back what the EPA returns; a score depends on the completeness and accuracy of that data and on EPA methodology, which changes from time to time. Savings figures, baselines, forecasts, and measurement and verification results are estimates produced by models, not guarantees of past or future performance. Utility data may be restated by a provider after we have reported on it.
You should not rely on the platform as the sole basis for a regulatory filing, a financial decision, or a representation to a third party without independently verifying the underlying data. Where you use output from the platform in a public disclosure or benchmarking submission, you remain responsible for its accuracy.
Limitation of Liability
To the fullest extent permitted by law, Huckleberry shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. Our total liability for any claim related to the services shall not exceed the amount you have paid to Huckleberry for access to the platform during the twelve months preceding the claim.
Termination
Huckleberry reserves the right to suspend or terminate your access to the platform at any time, with or without notice, for conduct that we believe violates these Terms of Use or is harmful to other users, us, or third parties. Upon termination, your right to use the services will cease immediately, although provisions that by their nature should survive termination will remain in effect.
Following termination, we will make your Customer Data available for export for 30 days, after which we will delete it on request, subject to backups that expire on their normal cycle and to anything we are required to retain by law. Records created in your own third-party accounts, such as properties in your ENERGY STAR® Portfolio Manager account, remain in those accounts and remain yours.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the platform shall be resolved in the state or federal courts located in North Carolina.
Changes to Terms
Huckleberry reserves the right to modify these Terms of Use at any time. We will notify users of significant changes by posting a notice on our website or through direct communication. Your continued use of the platform after any modifications constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
